Berger Kahn Transactions and Corporate Team Assists Systech Integrators, Inc. in $105 Million Dollar Acquisition


Berger Kahn's Transactions and Corporate Team represented Systech Integrators, Inc. in a $105 million acquisition that closed on October 2, 2006.

Systech Integrators Inc., a provider of business software applications services nationwide, was acquired by Affiliated Computer Services, Inc. Systech Integrators, Inc. has a principal office located in Torrance. The terms of the acquisition include a closing purchase price of $65 million, plus contingent payments of up to $40 million based on future financial performance. Kent M. Clayton, co-chair of Berger Kahn's Business Practice Group, was the lead attorney for Systech Integrators, Inc. in the deal.

"The deal was a complex transaction involving the complete transfer of Systech's overseas and domestic business operations to ACS. I am excited to see the further progress and success of ACS-Systech now that their forces are combined," said Clayton.

Affiliated Computer Services, Inc. is a global Fortune 500 company and a leading provider of SAP-based business process outsourcing solutions.
