Berger Kahn Represents Universal Space Network, Inc. in Acquisition of Honeywell’s DataLynx Division IRVINE, CA - Berger Kahn represented Universal Space Network, Inc. (USN) in the acquisition of Honeywell Technology Solutions Inc.'s DataLynx Systems division. As part of the transaction, USN has acquired the assets associated with DataLynx's satellite telemetry, tracking and control (TT&C) operations in Alaska, including related monitor and control equipment in Columbia, Maryland, and secured new contracts to provide TT&C satellite services for numerous NASA missions. USN also obtained equity and debt financing of approximately $18 million in connection with the acquisition. The deal was signed February 8. Terms of the acquisition were not disclosed. Universal Space Network, Inc. is a leading provider of satellite communications services to NASA, the Department of Defense, Boeing Co. and many other private companies. The company has offices in Newport Beach, CA and Horsham, PA. "This is a very significant acquisition for Universal Space Network as it will bring additional satellite TT&C capacity on-line immediately," said Kent M. Clayton, chair of Berger Kahn's Business Practices Group, who represented USN in the deal. "This acquisition will allow USN to move forward with many of the company's long-term strategic objectives." Clayton, who has represented Universal Space Network for 10 years, represents large, middle market and emerging growth companies in venture capital investments and securities transactions, mergers and acquisitions, software development and licensing transactions, and other technology-related matters.
